Introduction

These Terms of Service ("Terms") govern your use of Socialyzr (socialyzr.compassdigital.nl), an AI-powered Meta Ads creation platform operated by Compass Digital ("we", "us", or "our"). By creating an account or using our service, you agree to be bound by these Terms. If you do not agree, please do not use the service.

Service Description

Socialyzr is a software-as-a-service platform that enables users to create, manage, and optimize Meta (Facebook and Instagram) advertising campaigns using AI-powered tools. The service includes:

• AI-assisted ad copy generation and creative asset management.
• Campaign creation, scheduling, and publishing to Meta Ads.
• Performance analytics and optimization recommendations.
• Automated campaign rules and workflow management.

Account Responsibilities

When you create an account with Socialyzr, you agree to:

• Provide accurate and complete registration information.
• Maintain the security of your account credentials and not share them with third parties.
• Notify us immediately of any unauthorized access to your account.
• Accept responsibility for all activity that occurs under your account.
• Confirm that you are at least 18 years old or the age of legal majority in your jurisdiction.
• Comply with Meta's Terms of Service and Advertising Policies when using our platform to manage Meta Ads.

Acceptable Use

You agree not to use Socialyzr to:

• Create advertisements that violate applicable laws, regulations, or Meta's advertising policies.
• Publish misleading, deceptive, or fraudulent advertising content.
• Upload content that infringes on the intellectual property rights of others.
• Distribute malware, viruses, or any harmful content through the platform.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Use automated tools to scrape, crawl, or extract data from the platform beyond normal API usage.

Intellectual Property

Ownership of content and intellectual property is divided as follows:

• Your content: You retain ownership of all content you upload to Socialyzr, including images, videos, and text. You grant us a limited license to use this content solely to provide the service.
• AI-generated content: Ad copy and creative suggestions generated by our AI tools are provided for your use in your campaigns. You may use this content freely for your advertising purposes.
• Our platform: Socialyzr, including its design, code, algorithms, and documentation, is owned by Compass Digital and protected by intellectual property laws. You may not copy, modify, or reverse-engineer any part of the platform.

Payment and Billing

Certain features of Socialyzr may require a paid subscription. If you subscribe to a paid plan:

• You agree to pay all fees associated with your chosen plan.
• Subscription fees are billed on a recurring basis (monthly or annually) as specified at the time of purchase.
• We may change our pricing with 30 days' prior notice. Continued use after the price change constitutes acceptance.
• Refunds are handled on a case-by-case basis. Contact support for refund requests.

Limitation of Liability

To the maximum extent permitted by applicable law:

• Socialyzr is provided "as is" and "as available" without warranties of any kind, whether express or implied.
• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service.
• We do not guarantee specific advertising results or campaign performance. Ad effectiveness depends on many factors outside our control, including Meta's ad delivery systems.
• We are not responsible for the actions, content, or data processing practices of third-party services, including Meta Platforms and Anthropic.
• Our total liability for any claims related to the service shall not exceed the amount you paid to us in the 12 months preceding the claim.

Termination

Either party may terminate this agreement at any time:

• You may delete your account at any time through the account settings. Upon deletion, we will remove your data in accordance with our Privacy Policy.
• We may suspend or terminate your account if you violate these Terms, engage in abusive behavior, or if continued access poses a risk to the service or other users.
• Upon termination, your right to use the service ceases immediately. Sections relating to intellectual property, limitation of liability, and governing law survive termination.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and, where appropriate, by email. Your continued use of Socialyzr after changes are posted constitutes acceptance of the revised Terms.

Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Netherlands. Any disputes arising from or relating to these Terms or your use of Socialyzr shall be submitted to the exclusive jurisdiction of the competent courts in the Netherlands.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
